INDEPENDENT DISTRIBUTOR AGREEMENT As Independent Distributor of Agile Insurance Agency and Business Technologies, Inc. or AGILE. I understand and agree to the following: Eligibility For Natural Persons: I am of legal age upon entering into this Distributorship Agreement. I am a Filipino citizen with good moral character and respect for Philippine laws. I have not been convicted for any crime/offense nor is there any pending criminal investigation and/or action against me. For Juridical Entities/Corporations: The juridical entity/corporation is duly registered with the Securities and Exchange Commission. The corporation is empowered to engage in the selling of insurance products under its Articles of Incorporation and By-Laws. There is no pending action/case against the corporation with the Securities and Exchange Commission, Administrative Agencies of the government, and the courts. The representative of the corporation/business entity shall likewise comply with the eligibility requirements for natural persons. Nature of Relationship This Distributorship Agreement is personal in nature and is not transferrable nor assignable except in the event of my death, where law on intestate succession applies, however, subject to the company’s qualifications for an Independent Distributor. I understand that there is no employee – employer relationship between me and Agile; nor can I claim to be a legal representative of AGILE, JuanLife or its other products in any agreements other than those stipulated in this Agreement. Distributor Requirements I shall submit the following documents: o Accomplished application form o Valid ID o Police or NBI Clearance. o SEC Registration or DTI Business Permit (for business entities) o Articles of Incorporation (for business entities) o By-Laws of the Corporation (for business entities) I / the corporation’s authorized representative shall attend and complete the following training sessions before I can start to sell AGILE’s products: o Company and product training o Sales Training o JuanLife Systems Training o Sales Strategies Training Distributor Benefits As a Distributor, I/It can engage in direct selling JuanLife Personal Accident Insurance and Agile products. I/It am/is eligible to benefit from AGILE’s progressive Distributor’s Discount Program. I/the corporation attest/s that the mechanics have been fully explained to me/it and I/it agree/s to comply with the mechanics. I/ It shall be eligible to sales incentives, promos, discounts, awards, and privileges that may be granted by the company relative to my/its sales performance or successful delivery of products, provided that I/it have/has achieved such sales performance in good faith and that I/it have/has not violated any provisions of this Agreement and of AGILE’s promo mechanics and policies. I/It am/is eligible to benefit from AGILE’s sales support in the form of sales tools, trainings and seminars. I/It am fully aware that AGILE reserves the right to modify, revise, and update its existing policies, discount programs and business plan for the best interest of the company and its Distributors with 15 days prior notice. Responsible and Ethical Sales Practices I/It conform/s to conduct all my/its sales activities in accordance with the laws, regulations and good business practices. I/It shall be honest in all my/Its business practices, ensuring that I/It educate/s my/its customers and respond/s to concerns and questions truthfully and accurately. I/It shall be compliant to the pricing set by AGILE and shall not overprice or underprice its products in dealing with end users. I/It may conduct promotions or sales incentives with my/its team of dealers but I/it must protect pricing set by AGILE for end users. Marketing Responsibilities: I/It understand that I /it should secure an express written approval from the Marketing Department of Agile prior to making any form of advertisement in mainstream media, social networking sites, internet, and online media, including, but not limited to audio, visual and printed materials, other than the Company’s existing advertisement and marketing materials and postings on its official website and social media pages; I/It am/is aware that making any misrepresentations, revisions, modifications, or alterations of the Company’s trademark, brand, logos, marks, marketing plan, products, advertisement, marketing materials, and other company provided marketing tools, is strictly prohibited. Intellectual Property and Non-Disclosure of Confidential Information I/It am/is aware and I/it respect/s all intellectual property rights of AGILE. These remain exclusive properties of AGILE which includes but not limited to copyright, trademark, service mark, trade name, corporate mark, logos, insignias, signage, and designs. Any act of alteration, modification or unauthorized use of the company’s intellectual property is strictly prohibited. I/It agree/s to protect, not disclose or give access to confidential information provided by AGILE to any person except those who are expressly authorized under this Agreement, and only for the purposes allowed AGILE. Confidential Information includes, but is not limited to: samples and prototypes; information, in any form or medium, regarding pricing, customers and prospective customers, costed bills of material, processes, know-how, designs, computer programs, databases, methods of operation, sales techniques, business methods or plans, marketing plans and strategies, finances, management, distributor and dealer discount schemes or any other business information relating to the AGILE, whether constituting a trade secret, proprietary information or otherwise, which has value to AGILE and is treated AGILe as being confidential. I/It shall safeguard my/its username and password and shall not share it with any other person. Any loss resulting from non-compliance shall be my/its own accountability. In compliance to the Data Privacy Act, I/it shall safeguard the personal information of my/its clients and shall not use it for any other purpose except for renewal of AGILE’s insurance products. Government Responsibilities I/It shall diligently and promptly settle to the designated government agency/ local government unit all due taxes from the taxable sales bonuses I/it have/has earned from AGILE. I hereby certify that the above information are true and correct to the best of my knowledge. In case of violation of any of the terms and conditions stipulated in this Agreement, I hereby agree and authorize AGILE to revoke, deactivate, and/or suspend my privileges as Independent Distributor without prejudice to any charges, criminal and/or civil, that AGILE may charge against me, without limitation to any false information I have provided herein. I fully understand and further confirm this authority that I am conferring Agile Insurance Agency and Business Technologies, Inc. to do so is with my own free will and volition, without any force, intimidation or undue influence employed upon me.
